Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Technest Video AI Agent platform and related services (the “Services”) provided by Technest (“Technest,” “we,” or “us”). By requesting an assessment, signing an order, or using the Services, you agree to these Terms on behalf of yourself and the organization you represent.

Technest provides AI-powered video surveillance, threat detection, automated response, and operational intelligence through edge-deployed hardware and software. Technest provides these Services as an authorized partner through Spot AI providing its services. The Services process camera footage you provide or connect to generate detections, alerts, dashboards, and reports. Specific features, configurations, and service levels are defined in your order or service agreement.

You are responsible for maintaining the security of your account credentials and for all activity conducted under your account. You represent that you have the authority to bind your organization and to authorize the deployment of AI surveillance at your facilities. You must be at least 18 years of age to enter into these Terms.

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws, including surveillance and recording regulations.
• Deploy the Services in a manner that violates the reasonable privacy expectations of individuals at your premises, or without required notices or signage.
• Reverse engineer, decompile, or attempt to extract our detection models or proprietary algorithms.
• Resell or sublicense access to the Services without our prior written consent.
• Interfere with, overload, or compromise the security of the platform or edge devices.

You retain ownership of and responsibility for the camera footage and data captured at your facilities. You are responsible for obtaining any consents, signage, or notices required under state, local, or industry-specific laws before recording. Technest processes such data on your behalf and in accordance with your configuration. You acknowledge that AI-based detection may occasionally produce false positives or negatives and that human review is recommended before taking action against individuals.

Fees, billing cycles, and service levels are set out in your order or service agreement. Unless otherwise stated, fees are non-refundable. We may adjust fees upon renewal with at least 30 days’ notice. Taxes, where applicable, are your responsibility.

Technest retains all rights, title, and interest in the Services, including the platform, detection models, software, and related intellectual property. You retain all rights to your video footage, data, and reports generated from your operations. We may use anonymized, aggregated detection data to improve our models and the accuracy of the Services.

Each party agrees to protect the other’s confidential information using reasonable care and to use it only for the purpose of providing or receiving the Services. Confidential information includes footage shared with Technest, system configurations, pricing, and security details.

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Technest disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or that all detections will be accurate, and the Services are not a substitute for human judgment or professional security personnel where required by law or regulation.

To the fullest extent permitted by law, in no event will Technest be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity, arising out of or relating to the Services. Our total aggregate liability for any claim is limited to the amount you paid for the Services giving rise to the claim in the 12 months preceding it.

You agree to indemnify and hold harmless Technest and its affiliates from claims, damages, and expenses arising from your use of the Services, your violation of these Terms, or your breach of applicable surveillance, privacy, or recording laws at your facilities.

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, your right to use the Services ends, and you remain responsible for all fees incurred through the termination date.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas, for any dispute arising out of or relating to these Terms or the Services.

We may modify these Terms from time to time. We will post updated Terms on this page with a revised “Last Updated” date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
